Business Toolkit Terms and Conditions

1. The Materials

We, Loch Lomond & The Trossachs National Park Authority (“the Park”), have made available on this part of our website various resources, including documents and graphics (“the Materials”) for use by you subject to these conditions. We reserve the right to make any changes, corrections and updates to the Materials at any time, without notice.

2. Licence and Eligibility

2.1 Our intellectual property rights in the Materials are and remain at all times our property and we retain ownership of the Materials and all subsequent copies of the Materials, regardless of the form in which the copies may exist.

2.2 Provided that you comply at all times with these conditions, we grant to you a limited, non-exclusive licence to use the Materials in whole or in part in relevant marketing and publicity materials for the sole purpose of promoting relevant products and/or services.   Relevant products and/or services shall be determined by us from time to time at our sole discretion but we currently consider products and/or services directly related to the businesses of visitor attractions, hotels, B&Bs, self catering accommodation, restaurants, cafes, public houses, leisure and activity, retail and tourism operators to be relevant products and/or services.

3. Purpose

You must not use the Materials to imply in any way that we, the Park, are endorsing any of your products or services.   Use of the Materials is intended only to allow you to advertise the fact that your business is located within the geographical boundaries of the Park and you must not in any way misrepresent your relationship with us (such misrepresentation to be determined by us at our sole discretion).  We do not warrant that the Materials will meet your requirements and you must take sole responsibility for deciding whether or not to use the Materials.

4. Restrictions on use

4.1 You must not modify the Materials in any way.

4.2 When using the Materials, you must comply with the Brand guidelines which we produce from time to time and which are available on our website and with any other directions as we issue from time to time.

4.3 You must reproduce and include any copyright notice, trade mark notice, news source identification or other notices or proprietary restrictions on all and any copies of the Materials, including any partial copies of the Materials.

4.4 You must not transfer possession of any copy of the Materials to another party (including by assignation, rental, lease, sub-licence, sale, pledge) or use the Materials for any illegal purpose.

4.5 You must not permit any other party to access the Business Toolkit or the Materials and you must keep confidential the username and password given to you to allow you to access the Business Toolkit and the Materials.

4.6 You must use the Materials only as an incidental or ancillary part of your promotional and marketing materials (and whether your use is incidental or ancillary shall be determined by us in our sole discretion).

5. Termination

Failure to abide by these Terms and Conditions will result in the Park withdrawing your licence and your right to access the Business Toolkit and the Materials at our sole discretion. You agree upon such termination to destroy the Materials together with all copies in any form.

6 . Liability

6.1 Except in respect of personal injury or death caused directly by our negligence, in no event will we be liable to you for any damages, including any lost profits, lost savings, loss of data or any indirect, special, incidental or consequential damages arising out of the use of or inability to use the Materials.

6.2 You will indemnify us and keep us indemnified against all actions, claims proceedings, costs and damages and all legal costs and other expenses arising out of any breach of these conditions.

7. General

7.1 We shall have the right to check on, monitor and audit any use you make of the Materials in order to verify compliance with these conditions and you shall permit us access, without limitation, to such documents, records or materials as we consider reasonably necessary for such purpose.

7.2 You shall provide to us such information as we may require from time to time and in such form as we may require from time to time in relation to your use of the Materials including an annual report with photographic evidence of your use of the Materials, which report shall be in a form to be determined by us.

7.3 These conditions are governed by Scots law and the Scottish courts shall have jurisdiction to hear any dispute in relation to them.
